1. The Service
By creating an account and using SpyGlow ("the Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.
SpyGlow is an AI-powered competitive intelligence platform. The Service includes automated competitor monitoring, AI-driven change analysis, battle card generation, content gap detection, keyword research, SEO intelligence, AI visibility tracking, content generation, and an AI chat assistant called AskGlow.
SpyGlow uses specialized AI agents to perform these tasks on your behalf, including monitoring public competitor websites, analyzing changes, and generating strategic insights.
2. Eligibility
You must be at least 18 years old to use SpyGlow. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.
3. Your Account
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must provide accurate and complete registration information.
- You must notify us promptly if you suspect unauthorized access to your account.
4. Agent Authority & Acceptable Use
When you configure SpyGlow to monitor websites or analyze competitors, the AI agents act on your instructions. You agree that:
- You have the right to access and monitor the public websites you target.
- You will not use the Service to harvest personal data (PII) or violate the terms of service of target websites.
- You will not attempt to reverse-engineer the AI agents or the platform.
- You will not use the Service for illegal activities, harassment, or any purpose that violates applicable law.
- You will not overwhelm target servers with excessive request frequencies outside of SpyGlow's standard monitoring cadence.
- You are responsible for the actions performed by AI agents under your account.
5. AI-Generated Content
SpyGlow uses Large Language Models (LLMs) to analyze data and generate insights. While highly capable, AI can occasionally produce inaccurate, incomplete, or misleading information.
SpyGlow provides intelligence, not professional advice. You should independently verify critical data points before making significant business, financial, or legal decisions based on AI-generated output.
If you use SpyGlow's content generation features to create and publish content, you are solely responsible for reviewing and ensuring the accuracy, legality, and appropriateness of that content before publication.
6. Data Ownership
- Your data: You retain ownership of all data you provide to SpyGlow (competitor URLs, company information, queries). You also retain ownership of AI-generated insights, reports, and battle cards created for your account.
- Our platform: We retain ownership of the SpyGlow platform, its AI agents, algorithms, models, and underlying technology.
- License to us: You grant SpyGlow a limited license to process your data solely for the purpose of delivering the Service. We do not use your data to train public AI models.
7. Pricing & Plans
SpyGlow offers multiple paid plans (Starter, Pro, Growth, Teams) billed on a monthly cycle.
- Each plan includes specific limits on competitors, monitored pages, domains, and AI usage.
- Plan details and pricing are listed on our pricing page and may be updated from time to time.
- Upgrading or downgrading your plan takes effect immediately.
8. Payments & Cancellation
- Payments are processed securely through our payment provider (Dodo Payments).
- You may cancel your subscription at any time from your dashboard.
- Upon cancellation, you retain access until the end of your current billing period.
- No refunds are issued for partial billing periods.
- If a payment processing error prevents your plan from being activated correctly, contact support and we will resolve it promptly.
9. Service Availability
We aim for high availability but cannot guarantee uninterrupted service. Downtime may occur due to:
- Scheduled maintenance
- Upstream provider outages (AI providers, database hosting, etc.)
- Unforeseen technical issues
We will make reasonable efforts to notify users of planned maintenance in advance.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- SpyGlow is provided "as is" and "as available" without warranties of any kind, express or implied.
- We do not warrant the accuracy, completeness, or reliability of any AI-generated content.
- Our total liability for any claims arising from or related to the Service shall not exceed the total fees you paid to SpyGlow in the 12 months preceding the claim.
- We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business losses.
11. Indemnification
You agree to indemnify and hold SpyGlow harmless from any claims, damages, or expenses arising from:
- Your use of the Service in violation of these Terms
- Your violation of any applicable law or third-party rights
- Content you provide or actions taken by AI agents under your account
12. Termination
- You may terminate your account at any time by canceling your subscription and requesting account deletion.
- We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to pay applicable fees.
- Upon termination, your access to the Service will cease. Your data will be deleted in accordance with our Privacy Policy.
13. Changes to Terms
We may update these Terms as the Service evolves. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SpyGlow operates. Any disputes shall be resolved in the courts of that jurisdiction.
